At Oversized Studios, we provide high-quality custom merchandise, workwear, and teamwear for businesses, clubs, artists, and brands. These terms and conditions apply to all B2B trade and have been created to ensure clarity and a positive experience for both parties. We recommend that you read through the terms before approving an order.

1. Scope
1.1. These terms and conditions apply to all orders for custom merchandise entered into between Oversized Studios ApS (hereinafter "Oversized") and business customers (hereinafter the "Customer").
1.2. Together with the order confirmation and invoice, these terms constitute the entire agreement.
1.3. These terms apply unless otherwise agreed upon in writing between the parties.
1.4. By providing written approval of the mockup and order, the Customer accepts these terms.

2. Prices and Minimum Orders
2.1. All prices are stated in the order confirmation and are exclusive of VAT.
2.2. The minimum order is 20 units per design.
2.3. For orders under 50 units per design, a quantity surcharge applies, as per the quote and order confirmation.
2.4. Prices are subject to change until the Customer has provided written approval of the order.

3. Ordering and Mockup Approval
3.1. Mockups are prepared upon receipt of the Customer's logo, preferably as a vector file (SVG), or alternatively as a high-resolution PNG.
3.2. An order is definitively confirmed once the Customer has provided written approval of the mockup, e.g., via email.
3.3. The Customer is responsible for thoroughly checking the mockup before approval, including colors, text, logo, placement and size of print, quantity, and size distribution.
3.4. The Customer’s written approval constitutes a binding acceptance of the offer and order.
3.5. Oversized is not liable for matters apparent in the approved mockup, including linguistic and spelling errors.
3.6. Changes made after approval may result in delays and additional costs.
3.7. An approved order cannot be unilaterally cancelled by the Customer, who is obligated to pay the agreed price.

4. Rights to Logo and Design
4.1. The Customer warrants that they possess the necessary rights to the logo, design, and material provided for printing, and holds Oversized harmless against any claims arising from copyright infringement.
4.2. Custom designs, graphics, illustrations, and layouts created by Oversized are the property of Oversized and may not be used, reproduced, altered, shared, or resold without prior written consent.
4.3. The Customer only obtains the right to use the design on products covered by the specific, fully paid order. Payment does not transfer copyrights or other intellectual property rights.
4.4. The design may not be used on other products or by other manufacturers.
4.5. If the purchase is not completed, the Customer has no right to use the created design.
4.6. Design hours are invoiced separately, regardless of whether the purchase is subsequently completed, and payment for these does not transfer rights to the design.

5. Colors and Printing
5.1. Natural color variations may occur between the submitted logo or image, the digital mockup, and the finished product. Such deviations do not constitute a defect.
5.2. Colors may vary due to screen settings, materials, and the printing process.
5.3. The requested print color may not necessarily be available for the printing machine. In such cases, the nearest available color will be used, which in itself does not constitute a defect.
5.4. In the event of insufficient resolution or incorrect file format, Oversized may, by agreement, adjust or convert the file. Minor changes resulting from this do not entitle the Customer to lodge a complaint.

6. Printing: Placement and Size
6.1. The Customer specifies the desired placement and size of the print, both on the front and back, in connection with the approval of the mockup.
6.2. If the Customer has specific requirements regarding the size or placement of the print, these must be stated in writing before approval.
6.3. If the Customer does not specify a concrete size or placement, Oversized will determine this to the best of their judgment based on the mockup, and the result does not constitute a defect.
6.4. A mockup is a visual illustration and not a dimensionally accurate technical drawing. Minor deviations in the print size and placement in relation to the mockup may occur and do not constitute a defect.
6.5. The placement and size approved by the Customer in the mockup are binding and do not entitle the Customer to lodge a complaint.

7. Sizes
7.1. The Customer selects clothing sizes and size distribution themselves in connection with the approval of the order and is responsible for choosing correctly.
7.2. Oversized does not offer exchanges or refunds if the Customer subsequently requests a size other than the one approved.
7.3. The B2B assortment is independent and not necessarily identical to the B2C webshop. Differences in, for example, fit, material, and print may occur between B2B and B2C products.

8. Delivery
8.1. The standard delivery time is 2 to 4 weeks from approved mockup.
8.2. Oversized does not guarantee a shorter delivery time unless otherwise agreed in writing for the specific order.

9. Complaints
9.1. The Customer must inspect the goods immediately upon receipt.
9.2. Complaints regarding actual defects, such as production errors, incorrect quantity, or incorrect products, must be made in writing no later than 7 banking days after receipt.
9.3. If a complaint is not made in a timely manner, the right to claim the defect is forfeited.
9.4. Matters approved by the Customer in the mockup, including color, size selection, placement, and size of print, as well as normal variations described in section 5, do not entitle the Customer to an exchange or refund.
9.5. Lower resolution provided by the Customer that has affected print quality is not considered a defect.

10. Cancellation Rights
10.1. The goods are custom-made according to individual orders and approval. Therefore, the Customer has no right of cancellation.
10.2. An approved order is binding and cannot be unilaterally cancelled or returned.

11. Cancellation After Approved Order
11.1. If the Customer wishes to cancel an order after written approval, the order must be paid in full, regardless of whether production has commenced, as the goods are custom-made and cannot be resold.

12. Payment
12.1. Production commences upon the Customer's written approval of the order, after which an invoice is sent.
12.2. The payment term is net 8 days from the invoice date, unless otherwise agreed in writing and stated in the order confirmation or invoice.
12.3. In case of late payment, interest and reminder fees will accrue in accordance with the rules of the Danish Interest Act.

13. Retention of Title
13.1. The delivered goods remain the property of Oversized until the entire purchase price, including any interest and fees, has been paid.
13.2. Until the title has passed, the Customer may not pledge, resell, or otherwise dispose of the goods.

14. Liability and Delay
14.1. Oversized is not liable for delays or failure to fulfill obligations due to circumstances beyond Oversized's reasonable control (force majeure), including delays at sub-suppliers and freight companies.
14.2. Oversized is not liable for indirect losses, consequential damages, or operating losses.
14.3. Oversized's total liability cannot exceed the amount the Customer has paid for the specific order.
14.4. These limitations do not apply to the extent otherwise provided by mandatory legislation.

15. Use of Name and Logo
15.1. By accepting these terms and conditions, the Customer consents to Oversized using the Customer's name, logo, and images of the delivered products in marketing, including on the website and social media.
15.2. This consent can be revoked at any time by written notice to Oversized.

16.1. Questions regarding the order or these terms should be directed to the salesperson with whom the agreement was made:

17. Governing Law and Jurisdiction
